Terms of Service

1. Services

Voir Labs provides AI engineering, automation, Web3 development, and related technical services. The specific scope, deliverables, timeline, and pricing for each engagement are defined in a separate Statement of Work (SOW) or project agreement signed by both parties.

2. Payment Terms

Unless otherwise agreed in writing, projects require a deposit before work begins. Milestone payments are due upon completion of each agreed milestone. Invoices are payable within 14 days of issue. Late payments may incur interest at 1.5% per month.

3. Intellectual Property

Upon receipt of full payment, all custom code and deliverables created specifically for your project become your property. Voir Labs retains ownership of any pre-existing tools, frameworks, libraries, or methodologies used in the delivery of services. Open-source components remain subject to their respective licences.

4. Confidentiality

Both parties agree to keep confidential any non-public information shared during an engagement. We are happy to sign a mutual NDA prior to commencing any project. Following delivery, Voir Labs removes all access credentials and transfers full ownership to the client.

5. Warranties & Liability

We warrant that services will be performed with reasonable skill and care. We do not guarantee specific business outcomes (e.g., revenue, user growth) as these depend on factors outside our control. Our liability is limited to the fees paid for the specific engagement giving rise to the claim.

6. Termination

Either party may terminate an engagement with 14 days written notice. Upon termination, the client is responsible for payment of all work completed to the termination date. Voir Labs will deliver all completed work and transfer all access upon receipt of final payment.

7. Governing Law

These terms are governed by applicable law. Any disputes will be resolved through good-faith negotiation before any formal proceedings.
